1. Acceptance of Terms

By accessing, browsing, or purchasing from the TONIC LABS website (“Site”), you (“Customer,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use this Site.

2. Research Use Only Designation

All products sold by TONIC LABS are designated strictly for Research Use Only (RUO). By purchasing any product from this Site, you expressly acknowledge, represent, and warrant that:

All products will be used solely for legitimate in-vitro research, laboratory investigation, or scientific study purposes.
Products are not intended for human or animal consumption, injection, ingestion, inhalation, or any form of administration to living organisms.
Products are not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition.
You are of legal age (18 years or older) in your jurisdiction to purchase research compounds.
You will not resell, redistribute, or transfer products for human or animal consumption purposes.
You assume full responsibility for compliance with all applicable local, state, federal, and international laws and regulations governing the purchase, possession, handling, and use of research compounds in your jurisdiction.
You have reviewed and understand the nature of the products being purchased.

TONIC LABS makes no claims regarding the safety, efficacy, or suitability of any product for any purpose other than research. Any information provided on this Site, including product descriptions, is for informational and educational purposes only and does not constitute medical, health, or professional advice.

3. Eligibility

To use this Site and make purchases, you must be: (a) at least 18 years of age; (b) capable of forming a legally binding contract; and (c) not prohibited by applicable law from purchasing research compounds. By placing an order, you represent that you meet these requirements.

4. Account Registration

You may be required to create an account to access certain features. You agree to: (a) provide accurate, current, and complete information; (b) maintain and update your information; (c) maintain the security of your account credentials; and (d) accept responsibility for all activity under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Products and Pricing

All prices are listed in United States Dollars (USD) unless otherwise indicated.
We reserve the right to modify pricing at any time without prior notice. Price changes do not affect orders already confirmed.
We make reasonable efforts to ensure product descriptions and images are accurate. However, we do not warrant that descriptions, images, or other content on the Site are error-free.
All orders are subject to acceptance and product availability. We may refuse or cancel any order at our sole discretion, including orders that appear fraudulent, violate these Terms, or exceed reasonable purchase quantities.

6. Membership Subscriptions

Membership subscriptions are billed on a recurring monthly basis on the date of initial enrollment.
Each membership tier includes a monthly product credit. Unused credits do not roll over to subsequent billing periods and expire at the end of each billing cycle.
You may upgrade, downgrade, or cancel your membership at any time through your account dashboard. Changes take effect at the next billing cycle.
Cancellation stops future billing but does not entitle you to a refund for the current billing period.
Membership discounts apply only to the account holder and are non-transferable.
We reserve the right to modify membership tiers, pricing, benefits, or credit amounts with 30 days’ written notice to active members.

7. Orders and Payment

By placing an order, you authorize us to charge the selected payment method for the total order amount, including applicable taxes and shipping.
Payments are processed by third-party payment processors (PeptiPay, Coinbase Commerce). Your use of these services is subject to their respective terms and privacy policies.
Cryptocurrency payments are non-reversible. Please verify all order details before submitting payment via crypto.
An order confirmation email does not constitute acceptance of your order. We reserve the right to cancel confirmed orders if products become unavailable or if pricing errors are identified.

8. Shipping and Delivery

Orders are processed within 1–2 business days (Monday–Friday, excluding U.S. federal holidays).
All products are shipped in temperature-controlled, discreet packaging to maintain product integrity.
Risk of loss transfers to you upon delivery to the carrier.
Shipping times are estimates and are not guaranteed. We are not liable for carrier delays, customs holds, or delivery failures beyond our control.
It is your responsibility to provide accurate shipping information. We are not responsible for orders shipped to incorrect addresses provided by the customer.

9. Returns, Refunds, and Disputes

Opened products cannot be returned due to the nature of research compounds and quality control concerns.
Damaged or incorrect items: Contact us within 48 hours of delivery with photographs of the damage. We will provide a full replacement or refund at our discretion.
Unopened products: May be returned within 14 days of delivery for store credit. Products must be in original, sealed condition. Return shipping is the customer’s responsibility.
Quality concerns: If you believe a product does not meet our stated purity specifications, contact us with details including lot/batch number. We will investigate and resolve promptly, which may include replacement, refund, or provision of additional COA documentation.
Refunds, when approved, will be issued to the original payment method within 5–10 business days.

10. Intellectual Property

All content on this Site — including but not limited to text, graphics, logos, images, product photography, branding, software, and compilation of content — is the exclusive property of TONIC LABS or its licensors and is protected by United States and international copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.

11. Prohibited Conduct

You agree not to:

Use the Site for any unlawful purpose or in violation of these Terms.
Purchase products for human or animal consumption.
Make false or misleading health claims about products purchased from this Site.
Resell products without authorization.
Interfere with the Site’s operation, security, or other users’ access.
Use automated tools (bots, scrapers) to access the Site without permission.
Attempt to gain unauthorized access to our systems or other users’ accounts.

12. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TONIC LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless TONIC LABS and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site or products; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any misuse of products purchased from this Site.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Site shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Los Angeles, California. Each party shall bear its own costs, and the arbitrator’s decision shall be final and binding.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and TONIC LABS regarding your use of the Site and supersede all prior agreements, understandings, or communications.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
